End User License Agreement

1 Introduction and Definitions

Capitalized terms used throughout this Agreement have the following meanings unless otherwise defined:

“App”

The Red Lion Sound software application and any associated updates or versions.

“User”

You, the individual or entity using the App under this Agreement.

“Content”

Any audio, video, images, text, or other materials uploaded, streamed, or displayed within the App.

“Creators”

Individuals or entities who produce and upload Content to the Platform.

“Platform”

The Red Lion Sound service architecture supporting the App, including servers, APIs, and interfaces.

“Services”

All functionalities, features, and offerings provided through the App and Platform.

“Tokens”

Any virtual currency, including Red Lion Coins and Flow Coins, used within the Platform economy.

“Payments”

All monetary transactions, including purchases, fees, and commissions processed through the Platform.

“Community Guidelines”

The code of conduct governing User behavior and Content standards on the Platform.

2 License Grant and Scope

The Company grants you a non-exclusive, non-transferable, revocable license to use the App on permitted devices globally, for personal, business, educational, or authorized contexts subject to this Agreement. This includes offline use, beta versions, and updates; however, usage must comply with software dependencies and restrictions outlined herein.

3 Detailed License Restrictions

• You shall not attempt unauthorized access, employ bots or automation, modify or tamper with the software, or export the App contrary to export laws.
• Use of the App to compromise security, infringe third-party rights, or for unlawful, malicious, or unauthorized commercial purposes is strictly prohibited.

4 Intellectual Property Rights

All copyrights, trademarks, patents, and trade secrets in the App and Content are owned or licensed by Red Lion Sound. Users must respect these rights, report infringements promptly, and cooperate with Company enforcement to protect intellectual property.

5 User Accounts, Security, and Privacy

• Users must register with accurate information and maintain the confidentiality of account access data.
• Users are responsible for all activity under their accounts.
• Security measures such as two-factor authentication may be required.
• Accounts may be terminated for violations or security risks.
• The Company complies with privacy regulations including GDPR, CCPA, and Canada’s PIPEDA.

6 User-Generated Content and Creator Obligations

Users retain ownership of their Content but grant the Company royalty-free rights to use, display, and monetize it. Creators warrant Content legality and compliance with laws. The Platform reserves the right to moderate or remove prohibited content and Users indemnify the Company against claims related to their Content.

7 Transactions, Marketplace, and Ticketing

Transactions conducted on the Platform are subject to escrow protections, platform fees, and refund policies consistent with applicable consumer protection laws, including local laws applicable in regions such as Ontario. Ticketing and resale are governed by additional terms reflecting applicable laws.

8 Virtual Token Economy

Tokens are virtual currencies with usage, redemption, and transfer restrictions within the Platform ecosystem. They have no monetary value outside the Platform except as permitted by law. Token expiration, taxation, and regulatory considerations apply.

9 Payments, Refunds, and Fees

Payments incur fees and are subject to billing cycles, verification, dispute handling, and withholding rights due to fraud or policy violations, in compliance with financial regulations.

10 Advertising, Subscription Plans, Promotions, and Contests

Advertising, subscriptions, contests, and promotions are governed by separate policies integrated into this Agreement, ensuring compliance with applicable marketing and privacy laws.

11 Community Standards, Safety, and User Conduct

Users agree to abide by the Community Guidelines, refrain from prohibited behavior, and acknowledge potential consequences including suspension or termination. The Platform disclaims liability for user actions or third-party integrations.

12 Software Updates, Maintenance, and Support

The Company may provide updates, maintenance, and support as described in platform notices and according to terms herein.

13 Termination and Suspension Procedures

Grounds for termination or suspension include breach of Agreement, legal requirements, or other Company discretion. Notice and appeal rights will be provided where applicable.

14 Disclaimers and Warranty Limitations

The App is provided “as is” without warranties regarding performance, errors, security, or third-party services. Environmental factors may affect functionality.

15 Limitation of Liability

The Company’s liability is limited to the extent permitted by law, excluding indirect, incidental, consequential, or punitive damages.

16 Indemnification

Users agree to indemnify Red Lion Sound against losses, damages, and expenses arising from breaches of this Agreement or law.

17 Governing Law, Jurisdiction, and Dispute Resolution

This Agreement is governed by Ontario law. Disputes are subject to binding arbitration in Ontario, with class action waivers and prescribed procedures consistent with Ontario legal standards.

18 Electronic Acceptance, Amendments, and Notices

Acceptance occurs electronically via download, installation, or use. Amendments will be notified electronically, and legal notices are directed to the contact information below.

19 Accessibility and Compliance

The Company complies with accessibility laws such as AODA in Ontario and other applicable disability statutes.

20 Data Protection and Privacy Policy Incorporation

This Agreement incorporates the Privacy Policy, detailing data collection, user rights, breach management, and cookie use.

21 Third Party Services and Links

Any third-party services linked or used through the App are independent, and the Company disclaims liability for third-party content or services.

23 Severability, Waiver, and Entire Agreement

If any provision is invalid, remaining terms remain effective. Waivers must be in writing. This Agreement integrates and supersedes all prior agreements and policies related to your use of the App.

24 Additional Appendices or Schedules

Additional documents such as fee schedules, token redemption terms, or detailed acceptable use policies may be appended to this Agreement.
